BASIC LICENSE

OiBeats – BASIC LICENSE TERMS

These BASIC LICENSE TERMS (the “Agreement”) govern the rights granted to any individual or entity (the “Client”, “Licensee”, or “you”) who purchases a BASIC LICENSE from OiBeats (the “Producer”, “Licensor”, “we”, or “us”).

By purchasing or otherwise acquiring a BASIC LICENSE, you acknowledge that you have read, understood, and agree to be bound by:

  • This Agreement; and
  • The OiBeats GENERAL LICENSE TERMS, which apply to all licenses unless expressly modified here.

The BASIC LICENSE is intended primarily for early‑stage, demo, or lower‑budget releases with limited reach. This page provides a detailed overview of the BASIC LICENSE tier. If there is any conflict between this page and a specifically negotiated written agreement, that written agreement will prevail for the relevant transaction.


1. GRANT OF LICENSE

  • The BASIC LICENSE grants the Client the right to use a specific musical composition and sound recording (the “Beat”) for limited commercial music purposes, subject to strict usage thresholds and restrictions described below.
  • The BASIC LICENSE is non‑exclusive, meaning:
    • OiBeats may continue to license the same Beat to multiple other Clients; and
    • The Beat may later be sold or licensed under higher‑tier arrangements (PREMIUM, UNLIMITED, or EXCLUSIVE), subject to protections for existing licensees as specified in the GENERAL LICENSE TERMS.
  • The BASIC LICENSE covers the use of the Beat for the creation and exploitation of a limited number of Song(s) (Beat + your vocals), within the caps in Section 3. It does not grant ownership of the Beat itself.

2. SCOPE OF USAGE

Under the BASIC LICENSE, and subject to the usage limits in Section 3 and the Restrictions in this Agreement and the GENERAL LICENSE TERMS, the Client may:

  • Record vocals and create one (1) primary Song using the Beat;
  • Release that Song on digital platforms with limited expected audience reach (e.g., early‑stage streaming, small‑scale releases, demos);
  • Release up to one (1) official music video for the Song (e.g., an official or lyric video);
  • Monetize the Song on streaming platforms and downloads within the stream cap and other usage limits set out in Section 3.

The BASIC LICENSE is designed for:

  • New or emerging artists testing releases;
  • Demo projects with modest promotional plans;
  • Artists who may later upgrade to PREMIUM, UNLIMITED, or EXCLUSIVE if traction increases.

3. STREAMING & USAGE THRESHOLDS

  • The BASIC LICENSE permits a cumulative total of approximately 100,000 to 250,000 streams across all platforms (Spotify, Apple Music, YouTube Audio, etc.) for the licensed Song, combined.
  • The exact stream cap (e.g., 100k or 250k) will be specified on the relevant BASIC LICENSE product page or order details at the time of purchase.
  • Within this threshold:
    • The Client may monetize the Song (e.g., through streaming revenue or small downloads) without sharing master revenue with OiBeats;
    • The Client is permitted to publicly host the Song and the single associated music video.
  • Once the stream cap or other usage limits are exceeded:
    • The Client must upgrade to a higher‑tier license (PREMIUM, UNLIMITED, or EXCLUSIVE), or
    • Accept that additional usage may trigger revenue‑sharing obligations (if separately negotiated) or enforcement actions for over‑usage.

The Client is responsible for monitoring streams and usage via their distributor or platform analytics. Most distributors and platforms provide reporting dashboards; for general guidance, see educational resources from reputable aggregators or PROs such as the ASCAP MUSIC BUSINESS 101 pages.


4. MASTER REVENUE WITHIN BASIC LIMITS

  • Under the BASIC LICENSE:
    • The Client may retain 100% of master revenue from the Song(s) using the Beat, as long as all usage stays within the BASIC streaming threshold and other limits;
    • OiBeats does not participate in the Client’s master recording revenue under this tier by default.
  • If usage substantially exceeds the BASIC limits and the Client does not upgrade, OiBeats may:
    • Request an upgrade to a higher license tier (with appropriate pricing); and/or
    • Negotiate a master revenue share going forward; and/or
    • Treat continued over‑usage without agreement as a breach and pursue takedown or enforcement.

5. OWNERSHIP

  • The Beat remains the sole intellectual property of OiBeats, including:
    • The underlying musical composition (melody, harmony, arrangement); and
    • The instrumental master recording.
  • The BASIC LICENSE grants limited usage rights only and does not transfer any ownership of:
    • The Beat’s composition; or
    • The Beat’s instrumental master recording.
  • The Client owns:
    • Their lyrics, vocal performances, and added musical elements; and
    • Their Song master that incorporates the Beat, subject to OiBeats’ underlying rights and the limits of this BASIC LICENSE.

6. PUBLISHING & PERFORMANCE RIGHTS

6.1 PRO REGISTRATION UNDER BASIC

  • Under the BASIC LICENSE, the Client is generally not allowed to register the Song with PROs (e.g., BMI, ASCAP, PRS, COSOMA) as a formally published work containing the Beat, unless OiBeats explicitly agrees in writing or the Client upgrades to a higher tier (typically UNLIMITED or EXCLUSIVE).
  • The purpose of this limitation is to:
    • Keep BASIC projects truly “entry‑level” and prevent complex publishing conflicts at a low budget tier;
    • Ensure that formal publishing and PRO registrations occur at more advanced tiers with clear split agreements.

6.2 OiBeats’ WRITER & PUBLISHER RIGHTS

  • Regardless of Client’s PRO registrations (if allowed later under an upgrade), OiBeats retains its status as:
    • Composer / writer of the Beat; and
    • Owner or administrator of the publishing rights in the Beat’s composition (directly or via a publishing company).
  • If the Client’s project grows beyond BASIC scope and PRO registration becomes necessary, the Client is expected to:
    • Upgrade to an appropriate license; and
    • Work with OiBeats to accurately reflect publishing splits in PRO and publisher systems.

7. CONTENT ID & RIGHTS MANAGEMENT

  • OiBeats may keep the Beat registered with CONTENT ID and other rights‑management systems to:
    • Detect and manage unauthorized uses;
    • Protect OiBeats’ rights and legitimate licensees;
    • Ensure consistent control over how the Beat is used across the internet and streaming services.
  • Under the BASIC LICENSE:
    • The Client may not register the Beat alone in any Content ID system as if they own the instrumental;
    • The Client should not attempt to override or remove OiBeats’ existing rights‑management registrations.
  • If a Content ID conflict occurs for a BASIC LICENSE Song, the Client may contact OiBeats for guidance. However, thorough whitelisting or complex claim management may require a higher‑tier license.

8. RESTRICTIONS

The BASIC LICENSE is intentionally limited. Unless expressly authorized in writing, the BASIC LICENSE does not permit use of the Beat for:

  • Film, television, or video game synchronization where the Beat is used as part of a professional AV production;
  • Advertising, branding, or corporate campaigns, including:
    • TV commercials or web ads;
    • Brand partnership videos or large sponsored content;
    • Permanent brand themes or corporate sonic logos.
  • Resale, redistribution, or sublicensing of the Beat as a standalone product, such as:
    • Beat packs or sample packs;
    • Production templates or plugin presets;
    • Library or stock music distributions.
  • Rebranding or misattribution such as:
    • Claiming you produced or composed the instrumental;
    • Removing or obscuring OiBeats’ producer and/or composer credit.
  • Use in content that is:
    • Clearly illegal or defamatory; or
    • Explicitly hateful or incites violence, contrary to the broader ethical and legal norms set out in the GENERAL LICENSE TERMS.

For extended or high‑visibility uses, an upgrade to PREMIUM LICENSE, UNLIMITED LICENSE, EXCLUSIVE LICENSE, or INDUSTRY/SYNC LICENSE is normally required.


9. NON‑EXCLUSIVITY & EFFECT OF LATER EXCLUSIVE SALE

9.1 NON‑EXCLUSIVE NATURE

  • The BASIC LICENSE is non‑exclusive. OiBeats may:
    • License the same Beat to multiple Clients at BASIC or other tiers; and
    • Decide to grant an EXCLUSIVE LICENSE or HYBRID BUYOUT to another party at a later date, subject to pre‑existing rights.

9.2 LATER EXCLUSIVE SALE

  • If a later EXCLUSIVE LICENSE is sold for the same Beat:
    • Clients holding a valid BASIC LICENSE may generally keep their Song and video online within their original BASIC limits, provided the Song was created before the exclusive sale date;
    • Clients may not create new Songs or significantly expand exploitation after the EXCLUSIVE LICENSE becomes effective, unless permitted by OiBeats and/or the exclusive rights holder;
    • The exclusive rights will apply prospectively and will not retroactively cancel lawful BASIC usage, but may restrict further expansion.

10. CREDIT

  • Where commercially reasonable and technically possible, the Client agrees to credit OiBeats as:
    • Produced by OiBeats, or
    • Prod. by OiBeats, or another mutually agreed credit line.
  • Credits should be included, at minimum:
    • In video descriptions for the associated music video;
    • On platforms that allow listing producer credits in metadata;
    • On artwork or descriptions where other creative credits are shown.
  • If you are unsure how to add credits on a specific platform, consult that platform’s help resources or contact OiBeats for guidance.

11. TERM & TERRITORY

  • Unless terminated earlier due to a material breach of this Agreement, the BASIC LICENSE:
    • Is granted on a worldwide basis (no geographic restriction on where listeners may access the Song), and
    • Is typically valid for the life of the release, within the BASIC usage limits (streams, video count, etc.).
  • “Worldwide” in this context refers to the territory of your licensed usage; it does not imply any transfer of ownership in the Beat.

12. RESERVATION OF RIGHTS

  • All rights not expressly granted to the Client in this BASIC LICENSE or in the GENERAL LICENSE TERMS are reserved by OiBeats.
  • This BASIC LICENSE does not grant:
    • Any ownership interest in the Beat’s composition or instrumental master;
    • The right to resell or redistribute the Beat by itself;
    • Broad sync, branding, or corporate usage beyond what is clearly described above.

13. SUPPORT, UPGRADES & QUESTIONS

If your Song begins to gain traction beyond BASIC expectations, or if you intend to pursue more serious commercial opportunities, you are strongly encouraged to upgrade to a higher tier (PREMIUM, UNLIMITED, or EXCLUSIVE) before exceeding your BASIC limits.

  • Include the Beat title or product link;
  • Provide your order/transaction reference;
  • Describe your current or expected stream counts and promotion plans.

  • Logged‑in users: submit a ticket via the USER SUPPORT area.
  • Visitors / not logged‑in users: use the public CONTACT FORM.

OiBeats will use reasonable efforts to advise on suitable upgrades, clarify any license questions, and help you stay compliant while growing your music career from BASIC into more advanced tiers.
